These supplemental Terms of Use (“AI Terms of Use”) apply to the Artificial Intelligence tool and its functionalities (collectively, the “AI Tool”) implemented, managed, developed or used by Red Points, whether for internal business operations or external purposes, including but not limited to services offered to Red Points’ clients (the “Client”). Mere use of the services implies that you agree to these AI Terms of Use.
These AI Terms of Use are designed to comply with applicable obligations, including transparency, related with Artificial Intelligence.
- Governing Terms: The use of the AI Tool is governed by these AI Terms of Use and the Agreement (conformed by Red Points’ Service Terms and Conditions, the corresponding Scope of Services and other Annexes). If there is any conflict between the Agreement and the AI Terms of Use, the conflicting provision in this AI Terms of Use will prevail.
- Use of the “AI Tool”: Red Points offers an AI-powered tool designed to identify potential infringements of its Clients’ IP rights across digital platforms. The AI Tool generates an output to guide the Client while operating within Red Points’ Software Platform. Additionally, Red Points utilizes internal AI Tools to support and enhance back-office operations related to the delivery and management of its services.
The output produced by this AI Tool is intended exclusively for informational purposes, based on the training data available at the time of analysis. This output serves as a probability-based indicator of potential infringements. - Content accuracy: AI and related technologies (as machine learning) are rapidly evolving fields of study. We are constantly working to improve our AI Tool to make it more accurate and reliable. Given the probabilistic nature of machine learning, the use of our AI Tool may in some situations result in an output that does not accurately reflect reality.
By using our AI Tool, you acknowledge and agree that the output may not always be accurate. You are responsible for evaluating the output for accuracy and relevance to your specific use case and should not rely on the output as your exclusive source of information. - Guarantees and representations: Red Points makes no guarantees or warranties of any kind regarding the accuracy of the AI Tool output or its performance. We reserve the right to add or remove features at our discretion. The AI Tool is not error-free and may not always function as expected. Your actions derived from the output of the AI Tool are at your own risk.
- Liability Disclaimer: The Red Points Software Platform offers specific services through the use of our AI Tool. The Client will not have access to the software, data or any other element of the AI Tool beyond the functionality provided above.
The AI Tool is provided ‘as it is’ and ‘as available’, without warranties of any kind, whether express or implied, including, but not limited to, warranties of fitness for a particular purpose, uninterrupted operation, system training data or artificial intelligence model, free of errors, bugs, security vulnerabilities, defects or compatibility with any hardware, software, system or AI model.
Under no circumstances shall Red Points, its developers, distributors or affiliates be liable for direct or indirect damages (including, but not limited to, loss of profits, business interruption, loss of data or economic losses) arising from the use or inability to use the AI Tool, even if the possibility of such damages has been warned of. For the avoidance of doubt, Red Points won’t be liable for any decisions made or actions taken by the Client based, in whole or in part, upon the output of the AI Tool.
The Client assumes full responsibility and risk derived from the use of the AI Tool and recognizes that Red Points is not obliged to provide support, updates or error corrections, beyond those expressly agreed between the Parties, if applicable.
Likewise, Red Points shall not be liable for errors, failures, inaccuracies, omissions or any other defect in the functioning of the AI Tool that, on the date of formalization of this AI Terms of Use, could not reasonably be foreseen according to the state of the art and the technical and scientific knowledge available at that time. The Client recognizes that artificial intelligence systems, such as the AI Tool, are constantly evolving and that their performance may be affected by external factors, unforeseen data or situations that could not be foreseen in their initial development. - Changes to these AI Terms of Use or our AI Tool. We are continuously working to develop and improve our AI Tool. As a result, we may update these AI Terms of Use or make changes to the AI Tool from time to time. Changes may occur due to updates in laws or regulations, improvements in the development of our AI Tool, the adoption of new technologies, or other factors. If you do not agree to the changes, you must stop using our AI Tool. Any update on the AI Terms of Use shall apply automatically when published ¹
